openTILL is currently in beta release. Features may change, contain bugs, or be unavailable without notice, and you use the Service at your own risk. Please report any issues, bugs, or feedback through our Support / Ticket Portal so we can improve the platform.
By accessing or using openTILL services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
openTILL is available to customers globally. If you access or use openTILL from outside the United States, you are responsible for complying with the local laws of your jurisdiction, including any licensing, tax, data-protection, anti-money-laundering, and cryptocurrency regulations that apply to your use of the Service. You acknowledge that openTILL may not be available or lawful in every jurisdiction, and we make no representation that the Service is appropriate or available in your location.

Isolex does not offer subscription plans and does not charge a recurring platform fee for use of the Service. There is no free trial because there is no paid subscription to convert to. Once your merchant account is activated, you may use the Service without paying any recurring software license or platform access fee.
While there is no platform subscription fee, payment processing fees apply to transactions you process through the Service. These fees are set by the underlying payment processor (e.g., Stripe), depend on the payment method used (card, crypto, EBT, etc.), and are deducted from each transaction. You are responsible for reviewing and accepting the applicable processing rates before accepting payments.
Certain optional items — such as the free Stripe Reader M2 program (subject to its own terms in Section 6), device-shop hardware, and openTILL Chip NFTs — may carry one-time or recurring charges. Those charges are disclosed at the point of purchase and are separate from any payment processing fees. You are responsible for all applicable taxes on any such purchases.

Our signature dual pricing feature allows you to display different prices for cash and card payments. You are responsible for ensuring compliance with applicable surcharging laws in your jurisdiction.
You may integrate third-party payment gateways (Stripe, Square, Shift4, etc.). You are responsible for complying with each provider's terms of service and maintaining valid credentials.
Crypto payments via Solana Pay are final and irreversible. You assume all risks associated with cryptocurrency volatility and blockchain transactions.
If you accept EBT, you must comply with USDA SNAP regulations and only process EBT for eligible items.
You are responsible for maintaining PCI-DSS compliance when handling cardholder data. We provide tools to help, but ultimate responsibility rests with you.
openTILL may issue rewards and bonuses in the $DUC token on the Solana blockchain, including card-processing rewards, referral bonuses (always paid in $DUC), and ambassador/merchant bonuses. $DUC balances, staking, and claims are managed through the $DUC Vault. Token values are volatile; we are not responsible for fluctuations in $DUC market value, and rewards are not deposits, securities, or guarantees of return. You are responsible for maintaining a valid Solana wallet and for any tax obligations arising from rewards.
Certain features may require or be unlocked by non-fungible token ("Chip") ownership on Solana. Purchases, mints, and subscriptions involving Chips are final and recorded on-chain. We do not guarantee the value, liquidity, or continued availability of any Chip, and access to gated features may be revoked if a Chip subscription lapses.
Ambassadors and Builders may earn commissions and bonuses payable via Stripe, $DUC, or a combination, at the platform's discretion. Payouts depend on accurate payout-destination details you provide; we are not liable for funds sent to an incorrect or outdated wallet or Stripe account you configured. Ambassadors do not pay platform fees; bonus structures are set per ambassador and may be changed by the platform.
We may register Solana Name Service (SNS) subdomains (e.g., *.opentill.sol) on your behalf. Subdomain minting involves on-chain transactions and network fees; registration may fail due to network conditions or name conflicts, and we are not liable for such failures or for the availability of any particular name.
AI-assisted features (marketing content, website generation, insights) are provided for convenience only. AI output may be inaccurate or incomplete. You must review any AI-generated content before publishing and are solely responsible for its accuracy, compliance, and any claims arising from its use.
Delivery, invoicing, and online-ordering features are facilitative tools. We are not a carrier, courier, or payment guarantor. You are responsible for fulfilling orders, deliveries, and invoices, and for any disputes with your customers.
When you activate a new openTILL Payments account, you may be eligible to receive one (1) Stripe Reader M2 card reader at no cost (the "Free Reader"). The following terms apply to the Free Reader program:
To receive the Free Reader, you must provide a valid credit or debit card to be kept on file. This card will not be charged at the time of enrollment. By providing your card and accepting these Terms, you authorize Isolex Corporation to charge your card a Non-Return Fee (defined below) if the Reader is not returned within the Return Period (defined below) after cancellation of your openTILL Payments account, or is returned but not in Good Working Order (defined below).
If you cancel your openTILL Payments account for any reason, you must return the Free Reader to openTILL Corporation within thirty (30) days of the cancellation date (the "Return Period"). You are responsible for the cost of return shipping. The Reader must be returned in Good Working Order as defined below.
If the Free Reader is not received by Isolex Corporation within the Return Period, or is received but not in Good Working Order, you will be charged a non-return fee of One Hundred Dollars (USD $100.00) (the "Non-Return Fee") to the card you provided at enrollment. You authorize Isolex Corporation to process this charge automatically after the Return Period expires without further notice. The Non-Return Fee is in addition to any other amounts you may owe under these Terms and does not constitute a purchase of the Reader.
For purposes of this Section, "Good Working Order" means the Reader meets all of the following conditions:
Isolex Corporation reserves the right to determine, in its reasonable discretion, whether a returned Reader meets the Good Working Order standard. If the Reader does not meet this standard, the Non-Return Fee will apply and will be charged to the card on file.
The Free Reader remains the property of Isolex Corporation until the earlier of (a) successful return in Good Working Order within the Return Period, or (b) payment of the Non-Return Fee. You are responsible for loss, theft, or damage to the Reader while in your possession. If the Reader is lost or stolen, the Non-Return Fee will apply.
Our Privacy Policy (incorporated by reference) governs how we collect and use your data. Key points:
All rights, title, and interest in openTILL, including software, trademarks, logos, and content, are owned by Isolex Corporation. These Terms do not grant you any ownership rights.
We grant you a limited, non-exclusive, non-transferable license to use openTILL for your business operations, subject to these Terms.
You retain ownership of content you upload (products, images, etc.). By uploading content, you grant us a license to store, process, and display it as necessary to provide the Service.
openTILL is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
While we strive for maximum uptime, we do not guarantee uninterrupted or error-free service. Scheduled maintenance and unexpected outages may occur.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISOLEX CORPORATION SHALL NOT BE LIABLE FOR:
Because openTILL is a beta product, the Service is experimental and may contain errors, defects, or unexpected behavior. You acknowledge and assume all such risks.
To the maximum extent permitted by law, our total aggregate liability for any claim shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100. In no event shall we be liable for any loss of digital assets, tokens, or cryptocurrency.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases the above limitations apply to the fullest extent permitted by law.
You agree to indemnify and hold harmless Isolex Corporation, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
You may deactivate or close your account at any time through your account settings or by contacting support. Because there is no paid subscription, no billing period or refund applies. If you enrolled in the free Stripe Reader M2 program, the return and Non-Return Fee terms in Section 6 continue to apply after deactivation.
We may suspend or terminate your account immediately if:
Upon termination, your access to openTILL ends immediately. You may export your data within 90 days of termination, after which we may delete it.
Before filing a legal claim, you agree to first contact us at legal@openTILL.io to attempt informal resolution. We commit to working in good faith to resolve disputes.
Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except for claims related to intellectual property rights. Arbitration precludes class action lawsuits.
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Lucas County, Ohio, and the parties hereby consent to the personal jurisdiction and venue therein.
We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service and deactivate your account.
